Some people are getting these pop-up ads from a Windows dialog box with the title "Windows Messenger Service". This is a messaging service built into Windows that most people are not even aware of. Well this is not exactly spyware, but there is an exploit in it which people are using to spam messages to you with. There are a couple ways to get rid of this problem, so I will post them below.
The easiest and probably the quickest way to do this is to use Steve Gibson's "Shoot The Messenger" program, which you can get here: http://grc.com/stm/ShootTheMessenger.htm
The latest version of Ad-aware has a plug-in that disables and enables this messenger service.

For Windows 2000 and XP
* Go to start and click Run
* Type services.msc
* Double-click on Messenger.
* In the Messenger Properties window, select Stop, then choose Disable as the Startup Type.
* Click OK.
For Windows 95, 98, and ME
* Under Control Panel, select Add/Remove.
* Select Windows Setup.
* Select System Tools.
* Click Details.
* Uncheck WinPopUp.
* Click OK.
